Jio Targets Navratri-Diwali Window for Mega $4 Billion IPO
Jio Targets Navratri-Diwali Window for Mega $4 Billion IPO
Jio Platforms is targeting the Navratri-Diwali festive period for its initial public offering, with the Reliance Industries-backed company looking at a launch by the end of October or in early November, according to people familiar with the plans.
The proposed IPO is estimated at around $4 billion, or ₹37,700 crore, which would make it the largest public offering in India if completed at that size. The final issue size and pricing have not yet been announced.
The timing would put Jio’s market debut in one of the busiest periods of India’s financial calendar, but the company has not yet committed to a specific listing date.
Jio IPO Moves Closer to the Market
Jio Platforms filed its draft red herring prospectus with the Securities and Exchange Board of India (SEBI) in June. SEBI cleared the IPO in August, removing a major regulatory hurdle for the offering.
The company is now working toward the next stages of the transaction, including investor marketing and the final pricing process.
Reports on Friday said Jio is considering an international roadshow followed by meetings with domestic investors before the issue opens. The exact schedule remains subject to change.
The IPO Will Be a Fresh Share Issue
Jio Platforms plans to issue 270 million new equity shares, representing about 2.9% of its post-issue share capital.
There will be no offer-for-sale component. That means existing shareholders such as Reliance Industries, Meta and Google are not selling their shares as part of the IPO. The money raised will instead go into Jio Platforms.
The final amount raised will depend on the price at which the shares are offered to investors.
That distinction is important because the widely reported $4 billion figure is an expected value of the offering, rather than a final amount already fixed by Jio.
Most of the Money Is Tied to Debt Reduction
A large part of the proceeds is earmarked for Reliance Jio Infocomm, Jio Platforms’ material subsidiary.
Under the IPO plan, Jio Platforms intends to use up to ₹27,500 crore to prepay or repay certain borrowings of Reliance Jio Infocomm. The remaining money will be available for general corporate purposes.
Jio Platforms had net debt of about ₹27,579 crore as of March 2026, according to its IPO documents. That was substantially lower than the ₹45,273 crore recorded a year earlier.
The proposed transaction therefore comes with a clear balance-sheet objective: bring more capital into the group while reducing outstanding borrowings.
Jio Brings Scale Into the IPO

The company is entering the public market with an unusually large operating base.
Jio Platforms reported 524.4 million customers as of March 31, 2026, with the figure covering its consumer and business customer base.
Jio’s operations now extend beyond mobile connectivity into digital services, enterprise solutions, cloud and artificial intelligence. Its telecom business remains the core contributor to the group, but the broader Jio Platforms structure gives investors exposure to a wider technology and digital-services operation.
That breadth will be part of the valuation discussion once the company sets its IPO price.

Reliance Will Keep Control
Reliance Industries will remain Jio Platforms’ dominant shareholder after the listing.
Reliance currently owns about 66.4% of Jio Platforms, while Meta holds approximately 9.9% and Google about 7.7%, according to Reuters.
The proposed public issue therefore represents only a small portion of the company. The listing is designed to bring Jio Platforms into the public market without giving up control of the business.
For investors in Reliance Industries, the listing could also provide a clearer market valuation for a business that has previously been valued within the wider conglomerate.
Jio Could Break India’s IPO Record
At around ₹37,700 crore, the proposed Jio issue would be larger than Hyundai Motor India’s ₹27,870 crore IPO in 2024.
That would make Jio the largest IPO in India’s history if the offering reaches the currently estimated size. Reuters currently puts the expected deal at about $3.8 billion, while Indian market reports have placed the potential issue around ₹37,700 crore.
Jio is also entering a market with several other large IPOs in the pipeline.
Prime Database data cited by Financial Express shows India’s IPO pipeline at about ₹4.66 lakh crore across 238 companies. Jio Platforms accounts for an estimated ₹37,700 crore of that pipeline, while the proposed National Stock Exchange IPO is estimated at around ₹30,000 crore.
Investors Will Now Focus on the Price
The next major question is no longer whether Jio can reach the IPO market. It is how the company will be priced.
Jio has the scale, customer base and financial growth that can support a major public offering. But investors will ultimately have to judge the company against its earnings, cash generation, debt and future investment requirements.
The proposed IPO also gives the market a chance to value Jio Platforms independently rather than through Reliance Industries.
For now, Jio is aiming for the Navratri-Diwali window, with late October or early November emerging as the likely period for the offering. The final IPO date, price band and amount to be raised will come later.
If the deal proceeds at the reported size, Jio will not simply be another large Indian listing. It will become the country’s biggest IPO and one of the most closely watched tests of investor appetite for India’s technology and digital economy.
