How to Register a Business in Nigeria: CAC Requirements, Costs and Process
Registering a business in Nigeria is handled by the Corporate Affairs Commission (CAC), the government agency responsible for registering companies, business names, and incorporated trustees.
The process is now largely online. For a business name, the applicant can search for an available name, complete the registration application, upload the required information and documents, pay the applicable fees and receive electronic registration documents through the CAC’s Company Registration Portal.
Onyeka said before starting the application, it is important to understand what type of business you actually want to register. A business name and a limited liability company are not the same legal structure.
- Choose the type of business you want to register
The first decision is whether you need a business name or a limited liability company.
A business name is commonly used by individuals, sole proprietors and small businesses operating under a registered trading name. CAC allows individuals and proprietors to register business names without using a lawyer, chartered accountant or chartered secretary.

A limited liability company is a separate legal entity from its owners. It is generally more appropriate where the founders want a corporate structure, shareholders, directors and limited liability.
CAC provides separate registration processes for private and public companies, including limited and unlimited companies.
The choice should therefore be based on how the business will operate, rather than simply choosing whichever registration is cheaper.
- Search for an available business name
Onyeka concluded that once you know the structure you want, the next step is choosing a name.
CAC requires applicants to check whether the proposed name is available before proceeding with registration. The Commission’s current registration process allows applicants to conduct a preliminary name search and, where appropriate, proceed to formal name reservation.
It is sensible to prepare more than one name because your preferred name may already be registered or may not be approved.
A name search also helps avoid building your business identity around a name that cannot ultimately be registered.
- Complete the CAC registration application
For a business name, CAC says applicants must complete the pre-registration form and upload the relevant registration documents through the Company Registration Portal Onyeka said.
The information required will depend on the type of registration. Applicants should provide their details accurately because the information submitted becomes part of the entity’s official registration record.
For companies, the process involves submitting the required corporate information and supporting documentation through the same digital registration system. CAC’s company-registration procedure includes name reservation, completion of the digital pre-registration application, submission of supporting documents and payment of the required fees and stamp duty.
- Pay the registration and statutory fees
Registration is not limited to filling out the application. The applicant must also pay the applicable CAC filing fees and, where applicable, statutory stamp duty.
The amount depends on what is being registered and the service involved. CAC publishes a schedule of fees rather than charging one universal registration fee for every type of business.
This is important because figures quoted on older blogs and social-media posts can become outdated after CAC changes its fee schedule.

- Receive your registration documents
Once the application has been processed and approved, CAC issues electronic registration documents through its registration portal.
For business names, CAC states that the process is now end-to-end on the Company Registration Portal, with an electronic Certificate of Registration and Certified Extract of registration information available through the system.
For companies, CAC similarly provides electronic registration documents, including the Certificate and Certified Extract.
The documents should be kept securely because they may be required when dealing with banks, customers, government agencies and other organisations.
- Check your business details after registration
Registration should not end with downloading the certificate.

It is worth checking the information on the CAC record to make sure the business name, address, ownership and other important details are correct.
CAC also provides a public search facility where existing companies and business entities can be searched using information such as an entity name, RC number or approved name.
This can also be useful when dealing with another Nigerian business. Instead of relying only on a certificate supplied by someone, you can independently check whether the entity appears on the CAC public registry.
- Understand what CAC registration does
CAC registration gives the business formal recognition within Nigeria’s corporate registry, but it does not automatically complete every regulatory requirement that may apply to the business.
Depending on what the business does, there may be additional tax, sector-specific, employment, licensing or regulatory obligations.
Onyeka said, for example, a company operating in a regulated industry may need approval from the relevant regulator before carrying out certain activities.
CAC itself identifies its role as covering incorporation and registration, corporate records, compliance and related post-incorporation services.
So, obtaining a CAC certificate should be viewed as one part of establishing a compliant business rather than the end of every regulatory requirement, He said.
- Keep up with post-registration obligations
A registered entity can still have obligations after incorporation.
CAC maintains services for post-registration changes and compliance, including annual returns. Its current registration platform also provides services for managing registered businesses and companies.
Business owners should therefore keep their registration information updated and pay attention to CAC notices instead of treating registration as a one-time transaction.
Failing to maintain the required records can create problems later, particularly when the business needs to make changes, obtain certified documents or demonstrate that its records are up to date.
Business name or limited company: which should you choose?
There is no single answer for every business.
A business name can make sense for a sole proprietor or small operation where the owner wants to trade under a registered name without establishing a separate company.

A limited liability company provides a different corporate structure, with the company existing separately from its shareholders. It can therefore be more suitable for businesses being built with multiple shareholders, outside investment or a longer-term corporate structure.
Onyeka also insisted that the decision should take into account ownership, liability, financing plans and how the business is expected to grow.
How to register a business in Nigeria online

The CAC registration process can be started online through the Commission’s official registration platform.
For a business name, the basic process is:
- Search for the availability of the proposed name.
- Reserve the name where required.
- Complete the business-name registration application.
- Upload the required information and documents.
- Pay the applicable CAC fees.
- Wait for processing and approval.
- Download the electronic registration documents once issued.
CAC confirms that business-name registration is now completed through its online Company Registration Portal.

Registering a business with CAC is relatively straightforward when the correct business structure is chosen before the application begins.
The important distinction is between simply obtaining a certificate and properly setting up a business that can continue operating within Nigeria’s regulatory framework.
Applicants should use the current CAC portal and fee schedule rather than relying on old registration guides because procedures and charges can change.
